Nonqualified plans have become increasingly important in the last 18 to 24 months. Employers need new and inventive ways to attract, retain and incentivize highly compensated and key management employees. One of the biggest (and most overlooked) differences between qualified and nonqualified plans is the lack of a 'due diligence framework' on the nonqualified plan side. In the world of nonqualified plan, you and your plan committee are required to meet regularly, and to comply with various fee disclosure, notice requirements, etc. In the world of nonqualified plans, there's a tremendous amount of flexibility, but due diligence is still imperative to make sure plan sponsors comply with applicable law. In 2024, the Department of Labor issued its final rule increasing the minimum salary to meet the white collar exemptions under the FLSA. The new rule calls for a series of increases to the minimum salary as follows:
- July 1, 2024: increase from $684 per week to $844 per week
- January 1, 2025: increase again to $1,128 per week
- July 1, 2027: initial triennial update
The rules are relatively simple to understand. What is more complex is the decision making on how to deal with employees who make or will make less than the minimum salary as it increases over time.
This program will discuss strategic and tactical issues to consider in implementing the new minimum salary requirements. Among the issues to be discovered:
- Determining who is or will be impacted by the new rules
- Evaluating the cost of increasing salaries to retain the exemption over different periods of time
- Evaluating the employee relations and other potential costs of reclassifying employees
- Implementing cost-controls for employees who are reclassified
- Training reclassified employees on time keeping practices for non-exempt employees as well as the people managers who work with them
In determining who is impacted, employers must remember that a number of states have minimum salary requirements that are higher than those require by the FLSA. These laws will be discussed, too.
Finally, the minimum salary must be paid in accordance with the salary basis requirement. The salary basis requirement is technical and, in some respects, counterintuitive. We will discuss how employers have inadvertently violated the salary basis requirement and steps employers can take to help avoid violating the requirement.

Mental health issues are largely hidden especially in the workplace. During COVID mental health issues weren't priorities in healthcare treatment triage decisions. In addition, COVID amplified many mental health challenges with isolation, anxiety, depression and self-medication. The Patient Protection and Affordable Care Act (the 'ACA'), the Mental Health Parity and Addiction Equity Act ('MHPAEA'), the Health Insurance Portability and Accountability Act ('HIPAA'), the Employer Retirement Security Act ('ERISA'), and other federal laws and regulations, lay out a plethora obligations and requirements for employee benefit plan sponsors. Crisis of contract and organizational security may easily arise to the extent an unknowing or inexperienced transactional team is employed to conduct employee benefits related oversight during due diligence operations conducted in corporate mergers and acquisitions. An unsuspecting buyer might be plagued with post-closing transactional liabilities reaching into the millions of dollars, requiring months or years of negotiations to settle private and federal administrative agency-related enforcement liabilities. To avoid such liabilities, employers must prepare and execute a systematic and comprehensive due diligence operation to catalogue, evaluate, and appraise the relative values and underlying liabilities associated with a seller's performance of a wide range of federal compliance mandates and other regulatory requirements. This program is designed to assist the employer in pre- and post-closing evaluation of employee benefits related due diligence operations arising in the M&A context. Participants will explore foundational aspects of many benefits related laws and regulations, while learning strategies to evaluate, assure and document a seller's current and historical performance of these important legal and regulatory obligations.

According to the CDC, the U.S. obesity rate was 41.9% as of March 2020. Current projections have this rising to half of all Americans within the next 8 years. Health experts have declared this a public health crisis, but employers have been slow to recognize their role in fighting this costly chronic disease.
Obesity-related comorbidities including type 2 diabetes, heart disease, stroke and certain types of cancer add significant cost to health plans. The estimated annual medical cost of obesity in the United States was $248 billion in 2020. The cost of diabetes alone accounts for approximately 1 in 4 health care dollars spent.
Science has debunked the stigma of obesity being a personal failing of the individual similar to its disproving that substance abuse could be overcome by just saying no. Today there are several therapies and treatment options that have proven effective in preventing and/or reversing obesity, but outdated mores and coverage protocols stand in the way of patients’ access to improved health.
Employers play a critical role in the health of Americans. Approximately half of the country gets their health coverage through an employer related plan. Any meaningful inroads into the fight against obesity will necessarily require employers to play a leading role.
